1. Sponsorship.

These official rules (“Official Rules”) govern the Fry Reglet Promotional Contest. The Fry Reglet Promotional Contest (the “Promotion”) is sponsored by Fry Reglet (“Fry Reglet” or “Sponsor”). Fry Reglet’s principal place of business is located at 14013 Marquardt Avenue, Santa Fe Springs, California 90670. Sponsor can be contacted at 800.237.9773.

2. Eligibility.

This Promotion is open only to legal residents of the United States of America and District of Columbia who are at least twenty-one (21) years of age or older at the time of entry. Residents outside of the United States and District of Columbia are not eligible to participate or enter this Promotion or to win Prizes. Owners, managers, members, partners and/or employees of the Sponsor, and the members of their household and of their immediate family are not eligible. An “immediate family” member is defined to mean spouse, parent, grandparent, child, or sibling. In-laws are not considered to be immediate family members.

The Promotion is subject to all applicable laws and regulations and is void where prohibited or restricted by applicable law.

The Sponsor, in its sole discretion, may require any Participant (as defined below) and/or Winner (as defined below) to complete and sign a notarized affidavit of eligibility and/or public release. If a Participant or Winner fails to comply with this requirement within forty-eight (48) hours of having been asked by Sponsor, Sponsor may, in its sole discretion, (i) invalidate the Participant’s Entries in the Promotion, and/or (ii) rescind a Prize and re-draw a new and different recipient for that Prize from the then-existing pool of valid entries.

3. Promotion Entry Period and Procedure.

Entry Period: The Promotion begins at 12:00 am ET, October 3, 2023, and ends on October 31, 2023, at 11:59 pm ET. (the “Entry Period”). Each Participant is responsible for determining the corresponding time zone in their respective location(s). All entries must be submitted during the Entry Period to be eligible. This Promotion is subject to these Official Rules.

To Enter: To enter the Promotion, all Participants must complete, using the link provided by Sponsor, an online Survey. The survey link will be shared with Participant via an email. Submission of the completed survey (“Entry”) will enter the Participant into the Promotion. A Participant is limited to one Entry. Each person who enters the Promotion is referred to herein as a “Participant.”

If a Participant fails to comply with any of the requirements contained in this Section or otherwise provided for in these Official Rules, at the sole determination of the Sponsor, such Participant may be disqualified from the Promotion. Moreover, at the sole determination of the Sponsor, that Participant’s Entry may be deemed null and void, not honored or acknowledged, and be grounds for forfeiture of the Participant’s Prize, if any.

NO PURCHASE IS NECESSARY TO ENTER OR TO WIN THE PROMOTION. FURTHER, A PURCHASE, INCLUDING, WITHOUT LIMITATION, A PURCHASE OF ANY PRODUCT, GOOD OR SERVICE OFFERED OR SOLD BY SPONSOR, WILL NOT IMPROVE CHANCES OF WINNING.

4. Prizes, Prize Values, and Odds of Winning.

Prizes and Prize Value: There are a total of thirteen (13) prizes (“Prize” or “Prizes”). First Prize will be a $1,000 Visa gift card and only one (1) First Prize will be awarded. Second Prize will be a $500 Visa gift card and only two (2) Second Prizes will be awarded. Third Prize will be a $100 Visa gift card and only ten (10) Third Prizes will be awarded.

The total retail value of the thirteen (13) Prizes is $3,000.00.

Prizes may not be combined with other promotions. Prizes are non-transferable and cannot be exchanged for cash or other goods or services.

Odds of Winning: The element of chance is involved. The odds of receiving a Prize are dependent on the number of valid Entries received by the Sponsor during the Entry Period.

5. Drawings, Winner Selection, and Claiming a Prize.

Drawings and Winner Selection: A third party shall conduct a random drawing for the Prizes starting at 12:00 pm ET on November 3, 2023 (the “Drawing Date”). Each drawing will be made from a pool of all eligible Entries received during the Entry Period. At this random drawing, a total of thirteen (13) Entries will be selected. The first Entry selected will be the one (1) First Prize winner, the next two Entries selected will be the two (2) Second Prize winners, and the ten (10) Entries selected thereafter will be the ten (10) Third Place Winners.

The Sponsor or its designees shall contact each Participant whose Entry has been selected for a Prize (“Winner” or “Winners”) via the email information provided in the survey. If the Winner does not respond within seventy-two (72) hours of being contacted (the “Notification Period”) by the Sponsor, or is unable to claim the Prize through no fault of the Sponsor, or is deemed ineligible, or cannot be identified, that Participant’s Prize will be forfeited. In this event, the Sponsor shall subsequently conduct a random drawing at 12:00 pm ET on the following day to select a new Winner from all valid remaining Entries received during the Entry Period.

6. Winner Announcement

On or before November 13, 2023, at 5:00 pm ET, the thirteen (13) Winners will be announced to all survey participants via an email.

7. Miscellaneous.

a. By entering, Participants unconditionally agree to be bound by these Official Rules and the decisions of the Sponsor, which shall be final. The Sponsor reserves the right to disqualify any Participant or Winner who, in its sole discretion, tampers with the entry process, violates these Official Rules, or acts in an unfair or disruptive manner.

b. All federal, state, and local laws apply, and all applicable federal, state, city, local and other taxes are the sole responsibility of the Winner.

c. The Sponsor, and, as applicable, the employees, officers, directors, shareholders, agents, representatives and affiliates of the Sponsor are not responsible for and shall not be liable for: (i) late, lost, delayed, damaged, misdirected, incomplete, illegible, or unintelligible Entries; (ii) any condition caused by events beyond the control of the Sponsor that may cause the Promotion to be disrupted or discontinued, including without limitation any disruption in the World Wide Web; (iii) any injuries, losses, or damages resulting from acceptance, possession, or use of the Prize, or from participation in the Promotion; (iv) any printing or typographical errors in any materials associated with the Promotion, (v) any inability to enter or otherwise participate in the Promotion that any Participant or prospective Participant may experience, or (vi) late, lost, delayed, or damaged delivery of a Prize.

d. If any provision of these Official Rules is deemed to be invalid or unenforceable, in whole or in part, such provision will be deemed to be modified or restricted to the extent and in the manner necessary to render the same valid and enforceable and these Official Rules will be construed and enforced to the maximum extent permitted by law as if such provision had been originally incorporated herein as so modified or restricted, or as if such provision had not been originally incorporated herein, as the case may be.

e. WAIVER OF LIABILITY AND AGREEMENT TO INDEMNIFY: By submitting any Entry, each Participant and Winner, and their heirs, successors and assigns (the “Participant Party”), thereby releases, forever discharges, and covenants not to make a claim against or sue Sponsor, and its parents, subsidiaries, affiliates, employees, officers, directors, representatives, successors, and assigns (the “Released Parties” or in the singular “Released Party”), of and from all manner of action or actions, cause or causes of action, at law or in equity, suits, claims, demands, liability, loss, cost, or expense, of any nature whatsoever, known or unknown, fixed or contingent, which Participant Party may have or hereafter have against any Released Party by reason of any injuries or damages Participant Party may sustain, whether to Participant Party’s person, property, reputation, or otherwise, as a result of, incident to, or related in any way to entry into the Promotion, the Promotion, or to any Prize. The Participant Party agrees to indemnify and hold harmless the Released Parties from and against any liabilities, losses, claims, demands, costs (including, without limitation, reasonable attorneys’ fees), and expenses arising in connection with any breach or alleged breach by Participant Party of any representation made in the Entry to the Promotion or by virtue of submitting the Entry to the Promotion.

f. PARTICIPANTS AND WINNERS AGREE THAT ANY DISPUTE, CLAIM OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE OFFICIAL RULES OR THE PROMOTION SHALL BE RESOLVED INDIVIDUALLY WITHOUT CLASS ACTION AND EXCLUSIVELY BY THE STATE AND FEDERAL COURTS IN DELAWARE, WITHOUT REGARD TO ANY STATE’S CONFLICT OF LAWS PRINCIPLES. PARTICIPANTS AND WINNERS FURTHER AGREE THAT (1) ANY AND ALL CLAIMS, JUDGMENTS, AND AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS INCURRED, INCLUDING COSTS RELATING TO THIS PROMOTION, BUT IN NO EVENT ATTORNEY’S FEES; AND (2) UNDER NO CIRCUMSTANCES WILL ANY PARTICIPANT OR WINNER BE PERMITTED TO OBTAIN AWARDS FOR, AND PARTICIPANTS AND WINNERS HEREBY WAIVE ALL RIGHTS TO CLAIM, PUNITIVE, INCIDENTAL, AND CONSEQUENTIAL DAMAGES, AND ANY OTHER DAMAGES, OTHER THAN FOR ACTUAL OUT-OF-POCKET EXPENSES, AND ANY AND ALL RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED.

g. i. Sponsor reserves the right to alter these Official Rules during the Promotion, including without limitation to improve the functioning of the Promotion, provided that no changes will be made contrary to governing law.
